 CONSTITUTION


  1. The name of the society is Trout Lake BC Internet Society.
  2. The purpose of the Trout Lake BC Internet Society is:

(a)  To bring high speed internet to the Trout Lake area and several surrounding communities.

(b)  To maintain and expand the internet connectivity to as many customers as is financially possible.

(c)  To rent, lease, purchase or acquire land, buildings, equipment and other materials necessary to carry out the needs of the Trout Lake BC Internet Society.

(d)  To own such property as is necessary for the Trout Lake BC Internet Society to pursue and achieve its aims.

(e)  To raise funds in order to carry out the above purposes by means of:   

 i.   solicitation of money, or donations of facilities or equipment.

ii.   the carrying on of business activities provided such business activities are permitted under the Society Act of B.C. from time to time in force and provided such business activities are permitted to a non-profit organization under the Income Tax Act from time to time in force.

(f)   To give back to Trout Lake and neighbouring communities and or individuals, by way of gifts or monies, at the discretion of the directors.

3. In the event of the winding up or dissolution of the Trout Lake BC Internet Society, its funds and assets remaining after the satisfaction of its debts and liabilities shall be given or transferred to the Trout Lake Community Club, or to such organization or organizations promoting the same purposes of this Society as may be determined by the members of the Society at the time of winding up or dissolution, and if effect cannot be given to the aforesaid provisions, then such funds shall be given or transferred to some other organization, provided however that such organization referred to in this paragraph shall be a non-profit or charitable organization,  pursuant to section 149(1)(f) or (l) of the Income Tax Act (CDN).

4. Notwithstanding clause 2 of the Constitution, all purposes shall be organized and operated exclusively on a non-profit basis.

5. No director or officer shall be remunerated for being or acting as a director or officer, but a director or officer may be reimbursed for all expenses necessarily and reasonably incurred by him while engaged in the affairs of the Trout Lake BC Internet Society.

6. No part of the income of the Trout Lake BC Internet Society shall be payable or otherwise available for the personal benefit of any proprietor, member, director, officer or shareholder.

7. The Trout Lake BC Internet Society will purchase, and at all times maintain, insurance for the benefits of the directors against personal liability incurred by him or her as a director, and for and on behalf of the Trout Lake BC Internet Society, in the amount of $1,000,000 to $2,000,000.

8. Paragraphs 3, 4, 5, 6, 7 and 8 of the Constitution are alterable in accordance with the Society Act of B.C.
